WHAT’S An S Corp

As with partnerships, the income, deductions, and tax credits of the S corporation flow to shareholders annually, regardless of whether distributions are created.

Thus, income is taxed at the shareholder level and not at the organization level. Payments to S shareholders by the organization are distributed tax-free to the degree that the distributed profits weren’t previously taxed. Also, certain corporate and business-penalty taxes (e.g., gathered earnings taxes, personal holding company tax), and the choice minimum taxes do not connect with an S corporation. Shareholders must be U.S. However, certain trusts, estates, and tax-exempt corporations, notably 501c3 corporations, are permitted to be shareholders. Profits and deficits must be allocated to shareholders proportionately to each one’s interest in the business. One obstacle you may encounter while refactoring is the ability to run shell commands.
